1. Agreement to Terms

These Terms and Conditions ("Terms") form a legally binding agreement between you ("you" or "User"), and NoteTube (owned by Priteshkumar Kanani, residing in Canada) ("NoteTube," "we," "us," or "our"), regarding your access to and use of the NoteTube web application, including any related sites, services, or mobile applications (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE PROHIBITED FROM USING NOTETUBE AND MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms or policies (such as our Privacy Policy) may apply to certain features of the Service; any such additional terms are incorporated by reference. We reserve the right to modify or update these Terms at our sole discretion. If we make changes, we will update the "Last updated" date and may notify you by other means. By continuing to use the Service after revised Terms are posted, you agree to the updated Terms. We encourage you to review these Terms periodically.

Educational Use Only

The content and features provided by NoteTube are intended for personal educational and learning purposes only. NoteTube is not an accredited educational institution and does not offer any official academic credit, certification, or degree. You should not rely on the Service for professional certification or as a substitute for formal education. All learning materials (including AI-generated quizzes, summaries, flashcards, mind maps, flowcharts, etc.) are provided "as is" for your information and personal study use. They are not guaranteed to be accurate or error-free, and you are responsible for verifying any information before relying on it.

Jurisdictional Use

NoteTube is operated from Canada. We make no representation that the Service is appropriate or available in other locations. If you access NoteTube from other jurisdictions, you do so at your own risk and are responsible for compliance with local laws. We may restrict access to the Service from certain countries if use would violate local laws or subject us to regulations to which we are not compliant.

Age Requirements

The Service is intended for users who are at least 13 years old. If you are under 13, you may not use NoteTube. If you are between 13 and the age of majority in your jurisdiction, you must only use the Service under the supervision and with consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

2. Description of Services and Plans

NoteTube is an AI-powered learning platform that allows users to upload content (such as PDF files or text) or provide YouTube video links in order to generate interactive learning materials including quizzes, flashcards, summaries, mind maps, and flowcharts. The Service leverages artificial intelligence to process the user-provided content and create these study aids, aiming to transform passive content (like videos or documents) into an active learning experience.

Available Plans

We currently offer three usage plans:

Free Plan

Enables you to use NoteTube at no cost
Certain limitations on usage (e.g., limited number of uploads or AI interactions per day/week)
Intended for casual or trial use
May have restricted features or capacity compared to paid plans
Limits are described on our website or within the app and are subject to change

Pro Plan (Paid Subscription)

Paid subscription offering enhanced or unlimited access to NoteTube's features
Higher usage limits or no caps on core features
Additional benefits such as priority processing or support
Subscription fees billed on a recurring basis (monthly or annually)
Access to premium features immediately upon payment confirmation
Pro features remain active as long as your subscription is in good standing

BYOK Plan (Bring Your Own API Key)

Use NoteTube's interface and features by connecting your own API key from a supported AI provider
NoteTube may not charge a subscription fee (or charges a reduced fee for platform use)
You are responsible for any third-party costs incurred through use of your own API key
Important: You must comply with the third-party provider's terms (e.g., OpenAI's terms of service)
NoteTube is not responsible for the availability, security, or costs of third-party API services
You are solely responsible for safeguarding your API key and monitoring your usage and charges

Evolving Features

NoteTube is a cutting-edge service and some features that have been advertised or discussed may not be immediately available at launch. New tools (such as certain types of quizzes, collaborative study spaces, or content-sharing functionalities) might be rolled out over time. We will make efforts to clearly indicate which features are in beta or coming soon. By using NoteTube, you acknowledge that the Service is evolving and that any particular feature is not guaranteed to be available at any given time.

Personal and Non-Commercial Use

All content and services provided through NoteTube are for personal, non-commercial use in your own learning. You agree not to use the Service or any output from the Service for commercial purposes (such as selling the AI-generated content or using it to provide paid services to others) without our express written permission. The learning materials generated are intended to supplement your personal education; NoteTube does not confer any formal credit, and using NoteTube does not result in any certificate or credential.

3. Intellectual Property Rights

Ownership of NoteTube Content

Unless otherwise indicated, NoteTube and its licensors own all rights, title, and interest in and to the Service and all content provided through the Service (excluding your User Content, defined below). This includes but is not limited to:

Website/app design
Software code
Algorithms
AI models and prompts
Features and functionality
Text, graphics, logos, trademarks
The compilation of content on the Service (collectively, the "NoteTube Content")

These are protected by copyright, trademark, and other intellectual property laws. All NoteTube trademarks, service marks, logos, and brand elements are the property of NoteTube.

License to Use the Service

Subject to your compliance with these Terms and your applicable plan limits, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the NoteTube Service and the NoteTube Content for your personal, non-commercial educational purposes.

This license allows you to:

Access and Use: Use the website and app interface to utilize NoteTube's features
Uploads: Upload your own documents (e.g., PDF files or text) for analysis and summary
Video Linking: Input links to YouTube videos to generate summaries, notes, or other learning aids
AI-Generated Content: Receive AI-generated outputs such as summaries, flashcards, quizzes, mind maps, flowcharts, etc.
Download/Save: Download or save the generated materials for your personal study use
General Use: Otherwise interact with the AI and the learning tools (within any usage limits specified by your plan)

All rights in the Service and Content that are not expressly granted to you in these Terms are reserved by NoteTube. You agree that you will not copy, reproduce, distribute, publicly display, or create derivative works from any part of the NoteTube Content or Service unless expressly permitted by us or by law.

User Content

"User Content" means any files, text, images, links, or other materials that you upload, submit, or input into NoteTube, as well as any AI-generated output that is based on your input. You retain any intellectual property rights you hold in the original content you upload to the Service.

By using NoteTube and providing User Content, you grant NoteTube a worldwide, non-exclusive, royalty-free license to use, host, copy, process, and display your User Content solely for the purpose of operating and improving the Service and generating the requested outputs.

AI-Generated Outputs

The AI-generated content produced by NoteTube based on your inputs (such as summaries, quizzes, flashcards, mind maps, etc.) is derived from your User Content combined with the AI's training data. NoteTube does not claim ownership of the specific outputs created for you. As between you and NoteTube, you may use the AI-generated materials for any lawful personal purpose consistent with these Terms.

Prohibited Content

You are solely responsible for the content you upload or submit to NoteTube. You represent and warrant that:

You have the necessary rights to provide the User Content to us
Doing so will not violate any third-party's rights
You will not upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or otherwise objectionable

We reserve the right to delete or disable processing of any User Content that, in our sole judgment, violates these standards or any law.

4. User Representations and Accounts

By using NoteTube, you represent and warrant that:

All registration and account information you submit is truthful and accurate
You will maintain the accuracy of such information
You have the legal capacity to enter into these Terms
You are not barred from using the Service under any applicable laws

Account Registration and Google Login

To use NoteTube, you may need to create an account. NoteTube uses Supabase Auth and may allow you to register or sign in using third-party authentication providers such as Google OAuth. If you choose to sign in via Google or another third-party, you authorize NoteTube to access and use certain account information from that provider as permitted by your privacy settings.

We reserve the right to:

Refuse registration
Suspend or terminate your account if information proves to be inaccurate, false, or violates these Terms
Reclaim or require you to change your username if we deem it inappropriate or impersonating

5. Fees, Payment, and Subscription Terms

Certain features of NoteTube (such as the Pro plan) require payment of fees. By signing up for a Pro subscription or any other paid services, you agree to pay the applicable fees and taxes and to abide by any additional terms that govern your purchase.

Pricing and Plan Details

Fees are described on our website or within the Service interface
We may offer different subscription tiers or durations
All prices are displayed in the indicated currency and are exclusive of applicable taxes unless stated otherwise
We reserve the right to change pricing (no retroactive changes to active subscriptions)

Payment Method

Payments are handled via our third-party payment processor (e.g., Stripe)
You must provide a valid payment method and billing information
You authorize us to charge your payment method for recurring subscription fees
Pro Plan subscriptions: Payments recur automatically on each billing cycle until you cancel

BYOK Plan Fees

Currently, the BYOK plan does not involve NoteTube charging you for AI usage (since you use your own API key). Any costs incurred are through the external AI provider under your own account.

Billing Cycle and Auto-Renewal

Subscription plans bill in advance on a periodic basis
Subscriptions automatically renew at the end of each billing period
Renewal will be at the same pricing and term unless we inform you of changes
If payment fails, we may suspend or downgrade your account to the Free plan

Refund Policy – 7-Day Money-Back Guarantee

For new Pro plan subscriptions, we offer a 7-day money-back guarantee:

Request a full refund within 7 days of the purchase date if unsatisfied
Refund requests must be submitted via our contact information
After the 7-day window, subscription payments are non-refundable except as required by law

Upgrades and Downgrades

Upgrading takes effect immediately, billing cycle starts on upgrade day
Downgrading prevents future billing but you retain Pro features until the end of the paid period
No pro-rated refunds for mid-cycle downgrades

6. Service Delivery and Access

NoteTube's services are delivered digitally through the online platform:

Free accounts: Can immediately begin using limited features
Pro subscription: Features enabled immediately upon payment confirmation
BYOK users: Access features as soon as they configure their API key

We strive to make NoteTube available without undue interruption. However, online services may occasionally be unavailable due to scheduled maintenance, updates, or network issues.

7. Cancellation of Subscription

You have the right to cancel your Pro Plan subscription at any time:

Cancel through your account settings or by contacting us via email
Cancellation takes effect at the end of your current paid billing period
You continue to have access to Pro features until the conclusion of the paid period
Your account will then be downgraded to the Free (or BYOK) plan

Note: Cancelling a subscription does not automatically delete your NoteTube account. For account deletion, see Section 20.

8. Acceptable Use and Prohibited Activities

You agree to use NoteTube only for lawful purposes and in accordance with these Terms. You specifically agree NOT to:

Legal Violations

Use the Service for any unlawful purpose or in furtherance of illegal activities
Upload or input any content that is illegal or encourages illegal activity

Security Breaches

Circumvent, disable, or interfere with security-related features
Attempt to gain unauthorized access to the Service, other users' accounts, or our systems
Engage in activities that overwhelm, disrupt, or interfere with service performance

Automated Use

Use any robot, scraper, crawler, script, or other automated means to access the Service without permission
Harvest or collect information about other users through automated means

Unauthorized Modifications

Copy, decompile, reverse engineer, disassemble, or create derivative works based on the software
Remove or alter any copyright notices or proprietary legends

Commercial Misuse

Use the Service for commercial purposes without authorization
Use it as part of any effort to compete with us or commercially exploit the outputs

Harmful Conduct

Upload or transmit any worms, viruses, malware, or harmful code
Use the Service to harass, threaten, abuse, or harm others
Generate or disseminate content that is bullying, harassing, or hateful

Impersonation and Fraud

Impersonate any person or entity
Misrepresent your affiliation with a person or entity
Use the Service to send spam or engage in fraudulent activities

9. User-Generated Content and Future Community Features

As of the latest update, NoteTube does not currently provide public forums or direct user-to-user content sharing. All content you upload and AI-generated content you receive are private to your account by default.

However, we plan to introduce features that enable users to share content or collaborate. When such features are available, the following terms will apply:

Contributions

Any content you contribute to public or shared areas must:

Not infringe any third-party's intellectual property or other rights
Not violate privacy rights, publicity rights, or data protection laws
Not be defamatory, obscene, pornographic, hateful, offensive, or otherwise prohibited
Not misrepresent the origin or involve impersonation
Be honest and based on firsthand experience (for reviews/feedback)

Non-Confidentiality

Any content you post in public areas will be considered non-confidential and non-proprietary. Others may view, use, or re-share your public contributions.

NoteTube reserves the right to monitor, remove, or edit any contribution at our discretion.

10. Contribution License

By submitting or posting any contributions in areas visible to others, you grant NoteTube a worldwide, perpetual, non-exclusive, transferable, royalty-free license to use, copy, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such contributions.

You retain ownership of your original contributions; this license gives us the rights to use your content without requiring further permission or payment.

11. Feedback and Submissions

We welcome feedback, comments, and suggestions to improve NoteTube. If you submit feedback, you agree that NoteTube is free to use such feedback without any restriction or compensation to you. We have no obligation to treat feedback as confidential.

12. Third-Party Websites and Content

The NoteTube Service may integrate with or contain links to third-party websites, content, or services that we do not own or control, such as:

YouTube videos (accessed via their API for summaries)
External articles or educational resources
Social media platforms
Third-party authentication services (like Google)

No Endorsement or Control

We do not endorse or assume responsibility for any third-party content
You use third-party sites at your own risk
Third-party sites have their own terms and policies
We have no control over third-party content, accuracy, or practices
We are not liable for damages from your use of third-party content

13. Account Suspension and Site Management

NoteTube reserves the right to monitor the Service and take appropriate action to enforce compliance:

Monitor use to ensure compliance with these Terms
Investigate violations
Remove or disable content that violates Terms or is burdensome to our systems
Enforce usage limits and ensure fair use
Take actions to maintain security and integrity

Suspension or Termination

We may deny access or terminate accounts for reasons including:

Breaching these Terms
Engaging in abusive or fraudulent behavior
Posing security threats or legal liability
Non-payment of fees
Extended periods of inactivity

If we terminate your account due to violations, you are not entitled to refunds.

14. Privacy Policy

We care about your privacy and data security. Please review our Privacy Policy to understand how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.

Note: NoteTube uses third-party services (such as Supabase, Google, and possibly OpenAI) which may collect or process data as well. Our Privacy Policy outlines what information we share with these providers.

15. Copyright Infringement and DMCA Policy

NoteTube respects intellectual property rights and responds to clear notices of alleged copyright infringement in accordance with applicable laws.

Filing a Copyright Notice

If you believe material on NoteTube infringes your copyright, send a written notice to our designated Copyright Agent including:

Identification of the copyrighted work you believe is infringed
Identification of the infringing material on our Service
Your contact information
Statement of good-faith belief that use is unauthorized
Statement that information is accurate, under penalty of perjury
Your physical or electronic signature

Counter-Notifications

If you believe your content was removed in error, you may submit a counter-notification with required information as specified by law.

Repeat Infringers

We may terminate users who are deemed repeat infringers.

16. Term and Termination

Term

These Terms remain in effect while you access or use the Service.

Termination by You

You may stop using NoteTube at any time
To delete your account entirely, contact us or use account deletion functions
Simply uninstalling the app does not cancel subscriptions

Termination by NoteTube

We may suspend or terminate your account for violations or business reasons at our sole discretion, with or without notice.

Effects of Termination

After termination, provisions that by their nature should survive will continue to apply (intellectual property rights, disclaimers, limitations of liability, dispute resolution, etc.).

17. Modifications and Interruptions

NoteTube reserves the right to:

Change, modify, or remove Service contents at any time without notice
Modify or discontinue all or part of the Service
Correct errors and update information
Add new features, change existing features, or retire features

Service Availability

We do not guarantee the Service will be available at all times
The Service may experience interruptions due to various factors
We are not liable for downtime or unavailability
You use the Service at your own risk

Data Backup Responsibility

You are responsible for maintaining your own backup copies of any important data or results from NoteTube.

18. Disclaimer of Warranties

THE SERVICE IS OFFERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOUR USE OF NOTETUBE IS AT YOUR SOLE RISK.

To the fullest extent permitted by law, we expressly disclaim all warranties, including:

Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
Performance warranties that the Service will meet your requirements or be uninterrupted, timely, secure, or error-free
Content accuracy - We do not guarantee the accuracy, usefulness, completeness, or reliability of any content
AI-generated content - Summaries, quizzes, flashcards, and other outputs may contain errors, omissions, or misinterpretations

No warranty that:

The Service will always be available or free of technical issues
Results or outputs will be correct, reliable, or safe
Content is free of viruses or harmful components
Errors or defects will be corrected

19. Limitation of Liability

To the extent permitted by law, NoteTube shall not be liable for:

Indirect, consequential, exemplary, incidental, special, or punitive damages
Lost profits, lost revenue, loss of data, or other intangible losses
Any damages exceeding the amount you paid to NoteTube in the 12 months preceding the claim (or $0 if you haven't paid)

Exceptions

We do not exclude liability where it would be illegal to do so, including:

Gross negligence or willful misconduct
Fraud
Specific statutory protections that may apply

These limitations are material, bargained-for bases of this agreement and fairly allocate risks between the parties.

20. Indemnification

You agree to indemnify, defend, and hold harmless NoteTube and related parties from any losses, damages, or costs arising from:

Your use of the Service
Your violation of these Terms
Your violation of any law or third party's rights
Any of your contributions or user content

This means you will reimburse us for losses or costs we incur due to your actions that result in claims against us.

21. User Data and Storage

Your Responsibility

You are responsible for all data you upload, generate, or store on NoteTube
Maintain your own backup copies of important materials
Use the Service at your own risk regarding data

No Liability for Data Loss

You agree that NoteTube has no liability for any loss or corruption of data. In the event of data loss, we will make reasonable efforts to restore from backups, but we do not guarantee data recovery.

Data Retention

We may store data you transmit for providing and improving the Service. We are not a data storage service and may delete inactive users' data after a period of time.

22. Electronic Communications and Contracting

By using NoteTube, you consent to receive electronic communications from us. You agree that all electronic communications satisfy legal requirements for written communications.

Electronic Signatures: You agree to the use of electronic signatures and documents. All transactions through the Service are conducted electronically.

23. Governing Law

These Terms are governed by the laws of Canada without regard to conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the courts of [Province], Canada. You consent to personal jurisdiction and waive objections on grounds of venue or inconvenient forum.

24. Dispute Resolution

Informal Resolution

Before formal legal action, you agree to first try resolving issues informally by contacting us with a written description of your dispute.

Formal Resolution

If informal resolution fails within 30 days, either party may seek formal resolution in the courts specified above.

Class Action Waiver: You waive the right to participate in class action claims and agree to resolve disputes only on an individual basis.

The prevailing party in litigation may recover reasonable attorneys' fees and costs.

25. Corrections

We reserve the right to correct any errors, inaccuracies, or omissions in the Service and to change or update information at any time without prior notice.

26. Miscellaneous

Entire Agreement

These Terms and posted policies constitute the entire agreement between you and NoteTube, superseding any prior agreements.

Waiver and Severability

Our failure to enforce any provision does not waive that provision
If any provision is invalid, the remaining provisions remain in effect
Courts should endeavor to give effect to the parties' intentions

Relationship

No joint venture, partnership, employment, or agency relationship exists between you and NoteTube.

Assignment

You may not assign your rights without our written consent
We may assign our rights to others at any time

Other Provisions

Terms will not be construed against the drafter
You waive defenses based on electronic form and lack of physical signatures
Rights not expressly granted are reserved by NoteTube
