Welcome to NoteTube. These Terms and Conditions ("Terms") govern your access to and use of the NoteTube platform, including our website at https://notetube.ai, our mobile applications, and all related services (collectively, the "Service"). The Service is operated by Acasa Labs ("Company", "we", "us", or "our").

By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Definitions

For the purposes of these Terms, the following definitions apply:

"Service" refers to the NoteTube platform, including the website, web application, mobile applications, APIs, and all features and functionalities offered therein.
"User" or "you" refers to any individual who accesses or uses the Service, whether registered or unregistered.
"Account" refers to the registered profile a User creates to access the Service.
"Content" refers to any material uploaded, submitted, or otherwise provided by a User to the Service, including but not limited to PDF documents, YouTube video links, images, articles, and text inputs.
"AI-Generated Materials" refers to any output produced by the Service's artificial intelligence features, including flashcards, quizzes, summaries, notes, chapters, mind maps, podcasts, and AI chat responses.
"Subscription" refers to a paid plan that provides enhanced access to the Service's features.
"Free Tier" refers to the basic level of access available to Users without a paid Subscription.
"Pro Plan" refers to the premium Subscription tier offered by the Service.

2. Account Registration

2.1 Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service. By registering, you represent and warrant that all information you provide is accurate and complete.

2.2 Account Creation

You may register for an Account using Google OAuth or an email and password combination. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.

2.3 One Account Per Person

Each individual may maintain only one Account. Creating multiple accounts to circumvent usage limits, abuse free tier allowances, or for any other deceptive purpose is strictly prohibited and may result in immediate termination of all associated accounts.

2.4 Account Security

You agree to notify us immediately at support@notetube.ai if you become aware of any unauthorized use of your Account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your login credentials.

3. Acceptable Use

3.1 Permitted Use

The Service is intended for personal educational and study purposes. You may use the Service to upload content you have the right to use, generate AI-powered study materials, and engage with the platform's learning features.

3.2 Prohibited Conduct

You agree not to:

Upload, share, or transmit any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
Upload content that infringes upon the intellectual property rights, privacy rights, or any other rights of third parties.
Use the Service to facilitate academic dishonesty, including but not limited to submitting AI-Generated Materials as your own original work in violation of your educational institution's policies.
Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service or its underlying algorithms.
Use automated scripts, bots, crawlers, scrapers, or any other automated means to access the Service, extract data, or generate excessive load on our infrastructure.
Interfere with or disrupt the integrity or performance of the Service or its related systems and networks.
Attempt to gain unauthorized access to any portion of the Service, other Users' accounts, or any systems or networks connected to the Service.
Use the Service to distribute malware, viruses, or any other harmful software.
Resell, sublicense, or commercially exploit the Service or any portion thereof without our prior written consent.
Circumvent or attempt to circumvent any usage limits, rate limits, or access controls implemented by the Service.

3.3 Enforcement

We reserve the right to investigate any suspected violations of these Terms and to take appropriate action, including suspending or terminating your Account, removing content, and reporting illegal activity to law enforcement authorities.

4. User Content

4.1 Ownership

You retain all ownership rights to the Content you upload to the Service. Nothing in these Terms transfers ownership of your Content to us.

4.2 License Grant

By uploading Content to the Service, you grant Acasa Labs a non-exclusive, worldwide, royalty-free license to store, process, analyze, and transform your Content solely for the purpose of providing and improving the Service. This includes extracting text, generating embeddings, creating AI-Generated Materials based on your Content, and performing related technical operations. This license exists only for as long as your Content remains on the Service.

For clarity: "improving the Service" includes analyzing aggregated, de-identified usage patterns and metadata (such as which features are used most frequently, average document lengths, and error rates) to enhance Service features, performance, and reliability. We do not use your individual Content to train third-party AI models, nor do we contribute your Content to any external training datasets. AI providers process your Content only on-demand via their APIs for the purpose of generating your requested study materials.

4.3 User Responsibility

You represent and warrant that you have all necessary rights, licenses, and permissions to upload and share any Content you provide to the Service. You are solely responsible for ensuring that your use of the Service does not infringe upon the copyright, trademark, intellectual property, privacy, or any other rights of any third party. This includes, but is not limited to, ensuring you have the legal right to use, reproduce, and process any PDFs, articles, images, or other materials you upload. NoteTube does not verify, monitor, or screen uploaded Content for copyright compliance and assumes no liability whatsoever for Content uploaded by Users. You acknowledge that uploading copyrighted, trademarked, or otherwise legally protected material without proper authorization is solely your responsibility, and you agree to bear all legal consequences, damages, and costs arising from any such infringement.

4.4 Content Removal

You may delete your Content from the Service at any time through your Account settings. Upon deletion, we will remove your Content from our active systems within a reasonable timeframe, though residual copies may persist in backups for a limited period.

5. AI-Generated Content

5.1 Nature of AI Output

The AI-Generated Materials produced by the Service — including flashcards, quizzes, summaries, notes, chapters, mind maps, podcasts, and chat responses — are created using artificial intelligence models from multiple providers. These outputs are intended as supplementary study aids to enhance your learning experience.

5.2 No Guarantee of Accuracy

AI-Generated Materials may contain errors, inaccuracies, omissions, or biases. We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-Generated Materials for any particular purpose. You are responsible for independently verifying any information provided by the Service, especially before relying on it for academic, professional, or other consequential decisions.

5.3 Ownership of AI-Generated Materials

NoteTube does not claim ownership of AI-Generated Materials created from your Content. You may use such materials for your personal educational purposes. However, the underlying AI models, algorithms, and technology used to generate these materials remain the exclusive property of Acasa Labs and its licensors.

5.4 Not Professional Advice

AI-Generated Materials do not constitute professional educational, legal, medical, or any other form of professional advice. The Service is a learning tool and should not be treated as a substitute for qualified instruction or professional guidance.

6. Intellectual Property

6.1 NoteTube's Intellectual Property

The Service, including its design, interface, source code, algorithms, AI models, branding, logos, trademarks, and all associated documentation, is the exclusive property of Acasa Labs or its licensors. These are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Service without our express written permission.

6.2 Feedback

If you provide suggestions, feature requests, or other feedback regarding the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution to you.

7. Subscription and Payments

7.1 Subscription Tiers

The Service offers a Free Tier with limited upload and usage allowances, and a Pro Plan at $4.99 per month, which provides enhanced access to features and higher usage limits. Specific details of each tier's features and limits are described on our pricing page.

7.2 Billing

All payments are processed securely through Stripe. By subscribing to the Pro Plan, you authorize us to charge the payment method you provide on a recurring monthly basis. You are responsible for keeping your payment information current and accurate.

7.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current subscription rate at each renewal.

7.4 Cancellation

You may cancel your Subscription at any time through your Account settings or the Stripe billing portal. Upon cancellation, your Pro Plan access will remain active until the end of your current billing period. After that, your Account will revert to the Free Tier.

7.5 Refund Policy

Due to the digital nature of the Service, all subscription payments are non-refundable. We do not offer full, partial, or pro-rated refunds under any circumstances. When you cancel your Subscription (see Section 7.4), you will retain full access to the Pro Plan until the end of your current billing period, after which your Account will revert to the Free Tier. No refund or credit will be issued for the remaining unused portion of a billing period. If you believe you have been charged in error (e.g., a duplicate charge or a charge after successful cancellation), please contact us at support@notetube.ai within 14 days of the charge, and we will investigate and correct any billing errors.

7.6 Price Changes

We reserve the right to change our subscription pricing at any time. We will provide at least 30 days' advance notice of any price changes via email or through the Service. Continued use of the Pro Plan after a price change takes effect constitutes your acceptance of the new pricing. If you do not agree to the new price, you may cancel your Subscription before the change takes effect.

7.7 Taxes

Subscription fees are exclusive of applicable taxes. You are responsible for paying any taxes associated with your use of the Service, unless otherwise stated at the point of purchase.

8. Service Availability

8.1 Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. The Service may experience periods of downtime due to maintenance, updates, server issues, or circumstances beyond our control.

8.2 Scheduled Maintenance

We may perform scheduled maintenance from time to time, which may result in temporary unavailability of the Service. Where practicable, we will provide advance notice of planned maintenance.

8.3 Force Majeure

We shall not be liable for any failure or delay in the performance of the Service resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, power outages, internet service disruptions, cyberattacks, pandemics, or other force majeure events.

9. Limitation of Liability

9.1 Study Aid Disclaimer

The Service is a study aid and learning tool. It is not a replacement for formal education, professional instruction, or qualified academic guidance. We make no guarantees regarding academic outcomes, test scores, or learning results from using the Service.

9.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE FREE OF ERRORS OR DEFECTS.

9.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACASA LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR DAMAGE TO DEVICES.

9.4 Maximum Liability

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Termination

10.1 Termination by Us

We may suspend or terminate your Account and access to the Service at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other Users or the Service, or is otherwise objectionable. In cases of serious violations, termination may be immediate and without prior warning.

10.2 Termination by You

You may delete your Account at any time through your Account settings. Upon Account deletion, your access to the Service will cease, and your stored Content and AI-Generated Materials will be scheduled for deletion in accordance with our data retention practices.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We are under no obligation to retain your Content or AI-Generated Materials after termination. Any provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to intellectual property provisions, limitation of liability, indemnification, and dispute resolution.

11. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, available at https://notetube.ai/policy. By using the Service, you consent to the practices described in our Privacy Policy. We encourage you to review the Privacy Policy carefully.

12. Indemnification

12.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Acasa Labs, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of the Service or any activity under your Account (including negligent or wrongful conduct)
Content you upload, submit, or make available through the Service, including any claims of copyright infringement, trademark infringement, intellectual property violation, or privacy violation arising from your Content
Your violation of these Terms or any applicable law, regulation, or third-party right
Your use of AI-Generated Materials in a manner that violates your educational institution's academic integrity policies, professional standards, or applicable regulations
Content you make publicly available through the Service's sharing or public visibility features, including any third-party claims arising from such public distribution

12.2 Indemnification Process

Acasa Labs will provide you with prompt written notice of any claim subject to indemnification (provided that failure to provide such notice shall not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such failure). You agree to cooperate reasonably with Acasa Labs in the defense of any such claim. Acasa Labs reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree not to settle any such matter without the prior written consent of Acasa Labs.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and notify you through the Service or via the email address associated with your Account. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you should discontinue your use of the Service and delete your Account.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal proceedings arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact us at support@notetube.ai and attempt to resolve the dispute informally for a period of at least thirty (30) days. Most concerns can be resolved quickly and satisfactorily through direct communication.

15.2 Binding Arbitration

If the dispute cannot be resolved informally, you and Acasa Labs agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties. The seat of arbitration shall be in India. The language of arbitration shall be English.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Acasa Labs.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published on the Service, constitute the entire agreement between you and Acasa Labs regarding the use of the Service. These Terms supersede all prior agreements, understandings, and communications, whether oral or written, relating to the subject matter hereof.

18. Waiver

The failure of Acasa Labs to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision shall only be effective if made in writing and signed by an authorized representative of Acasa Labs.
